Tax and Structure:


Investors will subscribe for shares and non transferable loan notes in an Irish public unlisted company called Panama Teak Investments Plc. Panama Teak Investments Plc will wholly own a Panama based subsidiary called "Irish Teak Investments SA". The share and loan note proceeds will be invested by Panama Teak Investments Plc into Irish Teak Investments SA.

Irish Teak Investments SA will be registered in Panama as a forestry operator and will benefit from Panamanian tax exemptions from forestry projects in that it will pay no taxes in Panama on income from its forestry operations.

Profits from the sale of the land in Panama will be taxed at a rate currently 30%. At the end of the investment Irish capital gains taxes (currently at a rate of 20%) should apply. A more detailed description on the tax implications and structure is contained in the Information Memorandum.
